dealhead 101 - Working with Checklist Items

Understand how to utilize and track your Checklist Items

Overview

All Checklist Items are created and edited by Team Captains using the following worksheet:

A few things about Checklist Items:

  • There are two types of Checklist Items:

  • There are two possible statuses for a Checklist Item, which are automatically updated:

    • "Closed" = Ready for Milestone Completion = All Approvals Obtained

    • "Open" = Not Ready for Milestone Completion = Not All Approvals Obtained

  • Track which Team must take the "Next Action" (for example, which Team is reviewing an agreement and will propose the next draft). Check out the Milestone Overview for a helpful breakdown of the current state of Checklist Items to know which balls are in your court and which balls are in the the other Team's court.


In the Example Milestone, there are 8 total Checklist Items, but only 1 is "closed."

Of the 7 "open" Checklist Items: 2 require Team A to act next; 1 requires Team B to act next; and 4 could have either Team acting next.


Type 1: Approval Tracking

If dhNegotiate and dhSign are NOT utilized, the Checklist Item must indicate whether one or both Teams must provide Approval(s) for the Checklist Item to be deemed "Closed".

Because this type of Checklist Item does not track versions of a single document (and, perhaps, does not track an actual document), one or more documents or files may be uploaded to the Checklist Item and, if indicated, included in the dhDealBinder.

Type 2: Document/Signature Tracking

If a Checklist Item represents a document that needs to be negotiated or signed, enabling dhNegotiate and/or dhSign provides a structured workflow that helps automate much of the process.

These structured workflows allow for document and signature tracking that:

  • Automatically generates redlines between each document version

  • Makes all document versions and redlines easily accessible and visually represented in a helpful timeline

  • Automates execution copies and eliminates the need for signature packets

  • Seamlessly integrates with dhSign for easy signatory management (but—in line with dealhead's core philosophy to create an agnostic and interoperable ecosystem—allows for the upload and use of signatures captures outside of dealhead if individuals do not want to change signature workflows)

  • Automatically updates Next Action to reflect which Team is currently reviewing the document and will make the next proposal
